Terms governing professional photographers using the YesMoment marketplace.
This Photographer Marketplace Agreement (“Agreement”) governs the relationship between YesMoment.co (“YesMoment,” “we,” “us,” or “our”) and each photographer, studio, sole trader, company or professional photography service provider using the YesMoment marketplace (“Photographer,” “you,” or “your”).
By affirmatively accepting this Agreement and then submitting an offer, responding to a Client request, receiving a booking or using Photographer marketplace functionality, you agree to be legally bound by this Agreement.
If you do not agree, you must not submit offers or accept bookings through YesMoment.
YesMoment operates an online marketplace connecting individuals seeking photography services (“Clients”) with independent Photographers.
YesMoment may provide Photographer discovery, requests, messaging, offers, booking technology, booking-payment functionality and support.
YesMoment is not the Photographer and does not itself perform the photography service unless expressly stated otherwise. The Photographer independently provides the service to the Client.
You participate as an independent professional service provider. Nothing in this Agreement creates employment, worker status, partnership, joint venture, agency, franchise or exclusive representation.
You are responsible for your own business, equipment, staff, assistants, subcontractors, transportation, insurance, licenses, permits, taxes and professional obligations.
You have no authority to bind YesMoment to any commitment or liability.
By using a Photographer account, you represent that:
YesMoment may request reasonable identity or business verification.
You are responsible for the accuracy of your name, business information, biography, portfolio, locations, languages, prices, services, deliverables, availability and external links.
YesMoment may format or organize profile content and may remove content reasonably considered inaccurate, unlawful, misleading, infringing, unsafe or inappropriate.
A Client request is a potential opportunity, not a guaranteed booking.
YesMoment does not guarantee:
YesMoment may determine how profiles, search results and opportunities are displayed or distributed.
Factors may include location, availability, profile quality, responsiveness, pricing, booking history, cancellations, Client experience, account status, marketplace performance and commercial considerations.
No Photographer is guaranteed a particular ranking or visibility level.
You determine the total session price and describe what is included. Offers must be truthful and sufficiently clear for the Client to understand the service.
Once a Client confirms a booking based on your offer, you must honor its material terms unless a later modification is agreed with the Client.
Unless the Platform clearly states otherwise, the price you submit is the total price of the photography service.
You are responsible for accounting for taxes, travel, equipment, assistants, venues, permits, editing, insurance and other costs when setting your price.
YesMoment may receive a booking payment, marketplace fee or commission in connection with a booking generated through the Platform.
The applicable rate may vary by Photographer, account, destination, program, promotion or commercial arrangement.
By submitting an offer, you authorize YesMoment to calculate the booking payment using the rate applicable to your account.
If the total session price is €1,000 and your YesMoment rate is 20%, YesMoment may collect €200 when the Client books and €800 may remain payable directly to you.

YesMoment may record the applicable rate, booking payment and transaction terms for each offer or booking.
Unless expressly stated otherwise, the balance remaining after the YesMoment booking payment is payable directly by the Client to the Photographer.
You are responsible for collecting that balance, invoicing where required, tax compliance, payment methods and currency risk.
YesMoment does not guarantee payment of amounts owed directly by the Client to the Photographer.
You must not intentionally move a YesMoment-originated booking outside the Platform for the purpose of avoiding an applicable YesMoment fee or commission.

This does not prevent normal direct communication required to plan or perform the session, or relationships that clearly existed before the YesMoment introduction.
Where deliberate circumvention reasonably appears to have occurred, YesMoment may restrict, suspend or terminate the account and seek recovery of fees or losses to the extent permitted by law.
You are responsible for professionally performing confirmed bookings.
Artistic, technical and operational performance of the photography service is the Photographer's responsibility.
You are responsible for permits, venue permissions, drone rules, business licenses, local professional requirements, transportation regulations and other requirements applicable where you work.
YesMoment is not responsible for obtaining permits required for your photography services unless expressly agreed otherwise.
You are responsible for taxes, registrations, invoicing, social-security obligations and other financial obligations arising from your business and amounts you receive directly from Clients.
YesMoment may report, withhold or disclose transaction information where required by applicable law.
You must not cancel a confirmed booking without a legitimate reason. If you cannot perform the session, notify YesMoment and the Client as soon as reasonably possible.
YesMoment may assist with a replacement Photographer, refund or another reasonable solution.
Repeated or avoidable cancellations may affect visibility or result in account restriction, suspension or termination.
Photography services may be affected by weather, transportation, venue closures, restrictions, strikes, natural events, government action and circumstances outside reasonable control.
Where practical, the Photographer should communicate with the Client and attempt rescheduling or another reasonable solution.
YesMoment is not responsible for external circumstances outside its reasonable control.
A Photographer is not required to continue a session involving a material safety risk, unlawful conduct, harassment, violence or serious abuse.
Serious incidents relating to a YesMoment booking should be reported to YesMoment.
YesMoment may assist Clients and Photographers with booking-related complaints or disputes.
You agree to provide reasonable evidence where relevant, including communications, package details, delivery evidence, session records, timestamps or delivery links.
YesMoment's assistance does not make YesMoment the provider of the underlying photography service.
If a Client disputes a booking payment, YesMoment may investigate and use relevant request, offer, booking, payment and communication records.
Where a chargeback, refund or loss is materially caused by your non-performance, material misrepresentation, fraud or material breach, YesMoment may seek recovery of amounts reasonably attributable to that conduct, to the extent permitted by law.
You are not automatically responsible merely because a Client initiates a chargeback.
Client information obtained through YesMoment may be used only for legitimate purposes connected with the request, booking or photography service, or another purpose for which you independently have a lawful basis.
You must not:
You are responsible for complying with privacy laws applicable to your independent processing of Client information.
You retain ownership of photographs, videos and other creative content you own, subject to the license granted below.
By uploading, submitting, sending, linking, making available or otherwise providing photographs, videos, portfolio material, profile images or other creative content to YesMoment (“Photographer Content”), you grant YesMoment a non-exclusive, worldwide, royalty-free license to host, reproduce, copy, crop, resize, format, adapt for presentation, display, publish, distribute and use that Photographer Content to operate, present, promote and market YesMoment, its marketplace, Photographer listings and related services.
This expressly includes use on or in:
YesMoment may make reasonable technical or presentational modifications, including cropping, resizing, compression, formatting, adding text or graphical elements and adapting content for different media dimensions.
Unless separately agreed, no additional royalty, licensing or advertising fee is payable for uses authorized by this Section.
You represent and warrant that you own Photographer Content or have sufficient rights and authority to grant this license.
You also represent that you have obtained any permissions, consents, model releases or other legal authority reasonably required for the authorized use of identifiable people appearing in that content.
You must not knowingly provide content whose authorized use would violate copyright, privacy, image, contractual or other protected rights.
If a third party makes a legitimate claim relating to Photographer Content supplied by you, you agree to reasonably cooperate with YesMoment.
If the claim results from your material breach of the representations above, the indemnification provisions of this Agreement may apply.
You may request that YesMoment stop future marketing use of specific Photographer Content.
Where reasonably practical, YesMoment may discontinue future use. This does not necessarily require immediate withdrawal of materials already published, distributed, scheduled, cached or incorporated into an active campaign, except where applicable law requires otherwise.
The YesMoment name, brand, software, interface, database structure, graphics, text and Platform materials owned by YesMoment remain the property of YesMoment or its licensors.
You may not copy, scrape, reverse engineer or commercially exploit substantial parts of the Platform except where legally permitted.
YesMoment may display legitimate ratings, reviews, response indicators, booking information and other marketplace performance signals where permitted by law.
You may report information you reasonably believe is fraudulent or materially inaccurate.
YesMoment may restrict, suspend or terminate an account where reasonably justified by material breach, fraud, serious safety concerns, repeated unjustified cancellations, non-performance, misleading information, misuse of Client data, deliberate circumvention, illegal activity, security risk or other serious marketplace misconduct.
Immediate restriction may be used where reasonably necessary for fraud, security, safety or legal risk.
Where applicable law requires notice, reasons or a challenge mechanism, YesMoment will provide what that law requires.
To the extent permitted by law, you agree to indemnify and hold harmless YesMoment and its officers, employees and contractors from third-party claims, losses, liabilities and reasonable legal costs arising directly from:
This does not require you to indemnify YesMoment for liability that applicable law does not permit YesMoment to transfer.
YesMoment may modify, maintain, improve, suspend or discontinue Platform features.
We do not guarantee uninterrupted or error-free operation. Software, internet, payment-provider or third-party service failures may occur.
YesMoment may rely on third parties for payment processing, hosting, automation, communications, analytics and infrastructure.
YesMoment is not responsible for independent third-party acts or failures beyond the extent imposed by applicable law.
YesMoment does not guarantee future demand, request volume, bookings, Photographer income, Client responses, traffic, ranking or advertising performance.
Business decisions based on expected marketplace demand remain your responsibility.
To the maximum extent permitted by applicable law, YesMoment will not be liable for indirect, incidental, special, consequential or purely economic losses, including lost profits, opportunities, anticipated business or reputation.
YesMoment is not responsible for the artistic quality, conduct, equipment, transportation, local compliance or performance of an independent Photographer.
YesMoment is not responsible for amounts a Client independently owes directly to the Photographer unless YesMoment expressly assumes that obligation.
To the maximum extent permitted by law, YesMoment's aggregate liability to a Photographer relating to this Agreement will not exceed the greater of:
Nothing excludes liability that cannot legally be excluded or limited.
You are responsible for determining and maintaining any professional, public-liability, equipment, travel or other insurance required by law or appropriate for your business.
Non-public commercial, operational or security information obtained through the Platform must not be improperly disclosed or used to harm YesMoment or another Platform user.
YesMoment may modify commission structures, rates and commercial programs for future offers and bookings.
Changes will not retroactively alter a completed booking where the transaction record establishes a different rate.
YesMoment may require acceptance of updated commercial terms before new offers or bookings are submitted.
YesMoment may update this Agreement as the marketplace, business model, payment systems, laws or Platform functionality change.
Material changes may be notified or may require renewed affirmative acceptance where required by law or reasonably appropriate.
Access to new marketplace functionality may be restricted until the current version is accepted.
Photographers who used an earlier YesMoment lead, credit or marketplace model may be required to accept this Agreement before participating in the current booking marketplace.
Once accepted, this Agreement governs new marketplace requests, offers and bookings under the current model.
Earlier transactions may remain subject to the terms that applied when they occurred.
YesMoment may maintain electronic records relating to this Agreement and marketplace transactions, including:
Such electronic records may be used as evidence of acceptance, transaction terms and marketplace activity where permitted by law.
Personal data processed by YesMoment is governed by the applicable YesMoment Privacy Policy and privacy notices.
Photographers remain responsible for their own independent processing of Client information where applicable.
YesMoment may provide notices through email, the Photographer dashboard, Platform notifications, acceptance interfaces or another reasonable electronic method.
You are responsible for keeping your contact information accurate.
Except where mandatory law requires otherwise, this Agreement and the Photographer–YesMoment business relationship are governed by the laws of the Republic of Türkiye.
A photography session taking place in another country does not by itself change the governing law of this Agreement.
The Photographer remains responsible for mandatory laws applicable where the photography service is performed.
Before formal proceedings, the parties should reasonably attempt to resolve the dispute directly.
Subject to mandatory jurisdiction rules that cannot be excluded, disputes arising from this Agreement shall be submitted to the competent courts and enforcement offices of Istanbul, Türkiye.
If any provision is invalid or unenforceable, the remaining provisions continue in effect to the fullest extent permitted by law.
Failure or delay by YesMoment to enforce a provision does not waive its right to enforce that provision later.
You may not transfer your account or this Agreement without YesMoment's consent.
YesMoment may assign this Agreement as part of a merger, restructuring, financing, sale or transfer of its business or assets, subject to law.
Provisions concerning transaction records, outstanding payments, circumvention, confidentiality, intellectual property, Photographer Content, disputes, indemnification and limitations of liability survive where their nature requires them to continue.
This Agreement, together with applicable Platform policies, privacy notices and transaction-specific terms, governs Photographer participation in the current YesMoment marketplace.
A separate written commercial agreement may supplement specific terms for an individual Photographer.
By selecting an unchecked acceptance box or pressing an equivalent “Agree & Continue” control, you confirm that:
YesMoment may record the Agreement version, date, time, account identifier and other reasonable evidence of acceptance.
By affirmatively accepting this Agreement, you agree to the commercial and operational rules governing your participation in YesMoment, including applicable marketplace commission and Photographer Content rights described above.
If you do not agree, do not submit offers or accept bookings.
